All quotes, estimates, and proposals are non-binding until accepted by AFF in writing. Pricing may change if scope, measurements, site conditions, material selections, artwork, schedules, freight, taxes, tariffs, permits, or other project conditions change.

Unless otherwise stated, quotes are valid only for a limited time.

No order is final until AFF confirms acceptance. Clients are responsible for reviewing and approving all proofs, layouts, spelling, dimensions, materials, artwork placement, and specifications before production.

AFF is not responsible for errors approved by the client or resulting from inaccurate, incomplete, or late client-supplied information.

The client is solely responsible for the accuracy, legality, quality, and ownership of all files, logos, drawings, dimensions, artwork, photos, and other materials supplied to AFF.

The client represents that it has all necessary rights and permissions to authorize AFF to use such materials in connection with the project. AFF is not liable for claims arising from client-supplied content.

Reasonable variations in color, sheen, texture, grain, finish, print output, and material appearance may occur. Screen previews, renderings, mockups, samples, and photographs are approximate only and do not guarantee exact final appearance.

All work is subject to actual site conditions, field verification, access, substrate suitability, building rules, environmental conditions, wall or glass condition, structural conditions, and applicable approvals.

If hidden conditions, unsuitable surfaces, inaccurate measurements, or unforeseen circumstances are discovered, AFF may revise scope, pricing, methods, recommendations, or timelines.

Installation dates are estimates unless expressly guaranteed in writing. AFF is not responsible for delays caused by client delays, approval delays, site readiness issues, weather, shipping delays, backorders, permit delays, labour shortages, access restrictions, or third-party issues.

The client is responsible for providing safe, timely, and adequate site access, clear work areas, and all required permissions before installation begins.

Unless expressly agreed otherwise in writing, the client is responsible for permits, landlord approvals, engineering, code compliance, accessibility compliance, zoning requirements, and other authority approvals related to the project.

Any compliance-related information provided by AFF is general in nature unless specifically contracted otherwise.

Payment terms shall be as stated in the applicable quote, invoice, or agreement. AFF may require deposits, progress payments, material payments, or full payment before production, delivery, or installation.

Late payments may result in delays, suspension of work, storage charges, recovery costs, and interest where permitted by law.

Delivery and installation dates are estimates only unless expressly guaranteed in writing. Risk of loss or damage transfers in accordance with the parties’ written agreement, or if not stated, upon delivery, pickup, or substantial completion of installation, as applicable.

Orders involving custom fabrication, printing, design, setup, or special-order materials may not be cancelled once work has started, except on terms approved by AFF.

Any client-requested change to scope, design, schedule, materials, or installation may result in additional charges and revised timelines.

Except to the extent expressly stated in writing, AFF disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, compatibility, durability under unknown site conditions, and uninterrupted product or material availability.

To the fullest extent permitted by law, AFF shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, data, goodwill, opportunity, or anticipated savings.

AFF’s total liability in relation to any claim shall not exceed the amount actually paid to AFF for the specific product or service giving rise to that claim.

The client agrees to indemnify, defend, and hold harmless AFF and its owners, officers, employees, contractors, affiliates, and representatives from and against claims, losses, damages, liabilities, and expenses, including legal fees, arising from client-supplied materials, inaccurate information, site conditions outside AFF’s control, unauthorized use of intellectual property, or the client’s breach of these Terms & Conditions.

AFF retains all rights in its concepts, drawings, mockups, layouts, estimating methods, production files, internal details, systems, and other proprietary materials unless otherwise agreed in writing.

Payment for a project does not transfer ownership of AFF’s pre-existing intellectual property, methods, or design systems unless expressly stated in writing.

Unless otherwise agreed in writing, AFF may photograph, record, and display completed or in-progress work for portfolio, proposal, website, social media, and promotional purposes, provided confidential information is not intentionally disclosed.

AFF is not liable for failure or delay caused by events beyond its reasonable control, including weather, fire, flood, labor interruption, material shortages, transportation delays, utility failures, supply chain disruption, cyber incidents, government action, or other force majeure events

These Terms & Conditions are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles, except where mandatory law requires otherwise.

Any dispute arising from these Terms & Conditions or any AFF project shall be brought before the courts of Ontario, Canada, unless applicable law requires otherwise.
